NAME
The
name of the Association shall be EMMER GREEN RESIDENTS' ASSOCIATION.
AIM
The
aim of the Association shall be to ensure, as far as possible, that
the development and amenities of Emmer Green and district are in
accordance with the best interests of the residents of the area.
MEMBERSHIP
Membership
of the Association shall be open to all persons residing or working
in the area.
SUBSCRIPTION
The
annual subscription to meet the day to day expenses of the Association
shall be £1 per member or household, or such other amount as
the Annual General Meeting shall determine.
MANAGEMENT
The
administration of the Association shall be managed by an executive
committee consisting of a Chairman, Vice Chairman and not fewer than
five, and not more than nine, other members elected for one year
at the Annual General Meeting. The committee shall appoint a Treasurer
and a Secretary from among its number. The committee shall have the
power to co-opt from paid-up members of the Association within the
maximum number for the remainder of the current year to fill vacancies
or for special purposes. Members of the committee may be re-elected
for up to three consecutive years but thereafter shall be ineligible
for election until at least one year has elapsed, unless there are
insufficient nominations forthcoming for new members. The committee
shall meet at least quarterly.
MEETINGS
OF THE ASSOCIATION
The
Association shall meet annually in April for the purpose of receiving
the annual report of the committee and the audited statement of accounts;
of accepting the resignation of members of the committee and of electing
a new committee; and of dealing with such other matters as are appropriate.
An
extraordinary general meeting may be called at any other time, subject
to reasonable notice, by the Chairman or Secretary, or at the written
request of at least twelve paid-up members, to consider any matter
requiring the consideration of the membership in general.
The
Annual General Meeting and Extraordinary General Meeting shall be
open to all persons eligible for membership, but only paid-up members
shall be entitled to vote.
The
financial year shall be 1 January to 31 December.
FINANCE
The Treasurer shall keep proper account of the finances of
the Association and shall open a bank account in the name of the Association.
The accounts shall be audited at least once a year.
CONSTITUTION
Any alteration to the Constitution shall require the approval of a two-thirds
majority of those members attending and voting at a meeting of the Association
at which the matter is discussed. Any resolution for an alteration must
be received by the Secretary at least twenty-eight days before the meeting
and at least seven days notice of the meeting shall be given to the membership.
DISSOLUTION
A resolution to dissolve the Association shall be dealt with
as an alteration to the constitution except that approval shall be
by a simple majority. Any residual assets shall be transferred to such
charitable body or bodies with similar aims as the committee may decide.
